1. Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you and Conduuit ("Conduuit," "we," "us," or "our"), operated by Chad Fopma, governing your access to and use of the Conduuit website, application, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
2. The Service
Conduuit is a software-as-a-service platform for building, publishing, and managing sales funnels, including a drag-and-drop editor, funnel templates, AI-assisted content generation, lead capture, and hosting of published pages. We may add, change, or remove features at any time. Features marked "coming soon" or offered in beta are provided as previews and may change or be withdrawn.
3. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at the contact email below if you suspect unauthorized use. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
4. Subscriptions, Billing, and Trials
- Plans. Paid plans are billed in advance on a recurring monthly basis at the rates shown at checkout. Prices may change with at least 30 days' notice; changes take effect at your next billing cycle.
- Payment processing. Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis.
- Free trials. Paid plans include a 14-day free trial with no credit card required. When your trial ends, you must subscribe to a paid plan to keep using paid features.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
- Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
5. Your Content
You retain ownership of the funnels, pages, text, images, and other content you create or upload to the Service ("Your Content"), including lead data collected through your published funnels. You grant us a limited, worldwide, non-exclusive license to host, store, reproduce, and display Your Content solely as needed to operate and provide the Service.
You are solely responsible for Your Content, including ensuring you have the rights to use it and that it complies with applicable law. You are also responsible for complying with all laws that apply to your collection and use of lead data, including obtaining any required consents from your visitors and honoring applicable privacy and anti-spam laws.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Publish content that is fraudulent, deceptive, defamatory, infringing, or harmful, including scams, phishing pages, or misleading advertising;
- Sell or promote illegal goods or services;
- Send spam or collect personal data without a lawful basis;
- Distribute malware or attempt to gain unauthorized access to the Service or other users’ accounts;
- Interfere with or disrupt the integrity or performance of the Service; or
- Resell, sublicense, or misrepresent your affiliation with the Service without our written permission.
We may remove content or suspend or terminate accounts that we reasonably believe violate these Terms.
7. AI-Generated Content
The Service includes AI-assisted funnel and content generation. AI output may be inaccurate, incomplete, or similar to output generated for others. You are responsible for reviewing AI-generated content before publishing it and for ensuring it is accurate, lawful, and appropriate for your use.
8. Intellectual Property
The Service, including its software, design, templates, and branding, is owned by Conduuit and protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Service. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (with reasonable advance notice where practicable). Upon termination, your right to use the Service ends, and we may delete Your Content after a reasonable period. Sections that by their nature should survive termination (including Sections 10–12) will survive.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT USING THE SERVICE WILL PRODUCE ANY PARTICULAR BUSINESS RESULTS, LEADS, OR REVENUE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUUIT AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID US ANYTHING. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless Conduuit and its owner from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Conduuit regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the United States and the state in which the owner resides, without regard to conflict-of-law principles.
